1. The customer expressly waives his or her own general terms and conditions, even if these were established after these general terms and conditions of sale. To be valid, any waiver must be the subject of prior express written agreement.
2. Our invoices are payable within 21 business days, unless otherwise stated on the invoice or purchase order. In the event of non-payment by the due date, My Company reserves the right to charge fixed interest of 10% of the outstanding amount. My Company will be entitled to suspend any provision of services without notice in the event of late payment.
3. If a payment remains unpaid more than sixty (60) days after the due date, My Company reserves the right to engage a debt collection agency. All legal fees will be borne by the customer.
4. Some countries apply a withholding tax on invoice amounts, in accordance with their domestic legislation. Any withholding tax will be paid by the client to the tax authorities. My Company cannot be held responsible for any fees related to the legislation of a country. The invoice amount will therefore be due to My Company in its entirety and does not include fees related to the legislation of the country where the client is located.
5. My Company undertakes to do its best to provide efficient services within the specified timeframes. However, none of its obligations shall be considered an obligation of result. My Company shall under no circumstances be held as a third party by the customer in the context of a claim for damages filed against it by an end consumer.
6. To be admissible, any claim must be notified to My Company by registered letter with acknowledgment of receipt to its head office within 8 days following delivery of the goods or provision of the services.
7. All our contractual relationships are governed exclusively by United States law.
